Newmac Resources Inc. (“Newmac” or the “Company”) (TSX-V: NER) is pleased to announce that shareholders have approved the creation of a new control person by way of a private placement which will raise $1.5-million.
On October 14, 2011, Newmac announced that it had agreed to raise $1.5-million by way of a non-brokered private placement by the issuance of 30,000,000 units (the “Units”) at 5 cents per Unit. Real Flourish Holdings Ltd., a British Virgin Islands company, is the sole purchaser of the Units and, upon close of the private placement, Real Flourish will become a control person. This transaction was subject to shareholder and TSX Venture Exchange (the “Exchange”) approval.
Each Unit consists of one common share and one transferable share purchase warrant (a “Warrant”). Each Warrant will entitle the holder thereof to purchase one additional non-flow-through common share at a price of $0.10 per share at any time for four years following the issuance of the Units.
The Company’s shareholders approved the private placement shareholders overwhelmingly at the Company’s Special Meeting held November 21, 2011 (10,147,102 shares were voted - 98.42% in favour and 1.58% against). Newmac has received Exchange conditional approval for the private placement and is working to satisfy the conditions of closing.
Newmac believes that Real Flourish Holdings Ltd.'s involvement will be a significant benefit to all shareholders of Newmac.
On completion of the private placement, Mr. Wu will join the board of directors, and through his company, Real Flourish, will be Newmac's largest shareholder.
